Circle USYC
Rejected venues wait the longest for re-review; a rejection has to earn another look before the scheduled date.
REJECTED ON ACCESS, NOT ASSET QUALITY. Circle’s current product page and developer documentation say USYC is available only to entities that are non-U.S. Persons; the earlier memo’s claim that U.S. qualified purchasers can subscribe is not the current offering and is removed. The published minimum is $100,000. USYC represents a share of a Cayman mutual fund investing in short U.S. Treasury bills and reverse repos backed by short-term U.S. government securities. Circle International Bermuda is the token administrator/issuer and Circle acquired Hashnote in January 2025. That makes USYC a serious institutional cash instrument, but not one a U.S. mass-affluent advisor can lawfully source for a client. The prior “one counterparty, not two” line was too broad: USDC and the Cayman fund are legally different claims with different asset pools. They still share Circle-group administration and USYC subscriptions and redemptions settle in USDC, creating material operational and liquidity correlation. The formal rejection stands; the concentration argument is a sizing constraint, not a substitute for legal-structure analysis.

The mechanism
Each USYC token is the on-chain representation of a share of Hashnote International Short Duration Yield Fund Ltd., a Cayman Islands mutual fund. Circle says the fund invests in short U.S. Treasury bills and reverse-repurchase agreements collateralized by short-term U.S. government securities. Yield appears as a rising token price rather than a rebasing balance or separate distribution. Eligible wallets subscribe with USDC and redeem back to USDC through permissioned teller contracts; an entitlement endpoint determines whether an address may hold or interact with the token. This is a regulated fund share with on-chain transfer and settlement, not a stablecoin deposit or a direct Treasury claim.
Who controls it
The fund is registered in Cayman and licensed by the Cayman Islands Monetary Authority. Circle International Bermuda Limited, a Bermuda Monetary Authority-licensed digital-asset business, administers the token for the fund. Circle acquired Hashnote, the original issuer, in January 2025 and stated that it would integrate USYC with USDC. Circle therefore controls onboarding, wallet entitlement, the token-administration rail and the USDC settlement asset, while the fund owns the portfolio. Those are distinct legal roles, but the operating stack is highly concentrated. The public pages do not expose the complete offering memorandum, board, service-provider termination rights, instant-liquidity reserve policy or all contract administration keys; those documents must be obtained before any future approval.
Failure and operating record
The fund began on 2023-05-01. Circle reported $1.52B deployed as of 2025-01-15 when it announced the acquisition; its live product page showed about $313.0M at this review. That contraction is an AUM observation, not evidence of a NAV loss, but it makes capacity and investor-flow history questions material. No USYC NAV impairment, missed redemption or smart-contract loss was identified in the reviewed primary materials. Absence from issuer materials is not proof of absence: the full audited financial statements, reverse-repo counterparty schedule and incident log were not publicly available in the reviewed pages. Circle says the contracts are audited and price and holdings are published through an oracle; the actual reports and audit scope must be tied to every live chain before reliance.
Exit and liquidity
For an entitled holder, Circle advertises redemption into USDC in one block up to an undisclosed instant-redemption capacity; amounts above that capacity settle T+0 or T+1. Published subscription and redemption fees are 4 and 3 basis points, respectively, waived on the first $1M of combined daily eligible volume, while after-hours subscription pricing can vary. “Near instant” therefore depends on a capacity Circle does not quantify publicly, continued USDC settlement, wallet entitlement and functioning contracts. A secondary-market sale does not cure an ineligible purchase. Any future diligence must obtain a written proposed-size redemption test, the instant-liquidity formula, suspension powers and the path to fiat if USDC itself is stressed.
Comparison and recommendation
USYC differs from USDC: the former is a fund share whose NAV accrues Treasury/repo income and carries fund, administrator and market risks; the latter is a payment stablecoin claim on a Circle issuer. Against BUIDL, USTB and OUSG, USYC offers a notably automated USDC exit but still has securities-law eligibility and wallet permissioning. Against a government money-market fund held through a broker, it adds programmable collateral utility but also token, oracle, chain, entitlement and USDC-settlement dependencies. The decision recommendation is to keep the formal rejection. Do not acquire through a secondary venue or offshore wrapper to evade the issuer’s U.S.-person restriction.
Observable reopen conditions
Reopen only after Circle publishes a U.S.-eligible share class whose investor standard covers the intended client population, with a practical minimum no greater than the proposed position; counsel confirms direct and secondary-market holding eligibility; current offering documents and audited financial statements are available; every live-chain contract and administrator authority is mapped to an audit; and a proposed-size USYC-to-USDC redemption can be evidenced inside a written cost and timing limit. Before allocation, separately cap aggregate Circle-group operational exposure across USDC and USYC and stress a simultaneous USDC conversion disruption. A lower minimum alone does not reopen the file.
