Backpack Securities stock tokens (Trek Nexus Markets, Solana)

Backpack, a crypto exchange, lets its users buy US stocks and withdraw them to Solana as tokens. CoinGecko lists the SpaceX token as ”SpaceX (Backpack Securities),” worth about $6.5 million. The token is issued by Trek Nexus Markets Ltd, an unregulated company in the British Virgin Islands, and its terms call it a ”digital receipt” for a pro rata share of a bare trust over the pooled shares, an entitlement they qualify as ”(if any).” The holder of the token is not the beneficiary. While Backpack supports the tokens, the issuer ”shall record and recognise only Trek Forge,” a Backpack affiliate, as holder and sole beneficiary. A wallet holder gains standing only if Backpack stops supporting the tokens, fails, or blocks redemptions for more than 90 days. Until then the only way to turn a token back into stock is to deposit it into a Backpack account. For a US advisor the answer is no: the service is closed to US residents and the tokens may not go to US persons. Even outside the United States, the holder owns a receipt the issuer does not recognise, from a BVI company that names no custodian for the shares, and one authority on chain can freeze any account and move any balance.

Who issues the tokens, and what stands behind them
The Issuer Terms and Conditions name Trek Nexus Markets Ltd, a BVI business company, as issuer and as trustee. On 6 June 2026 it declared a bare trust per stock over the shares it holds ”as legal owner or holder of record,” possibly through custodians it appoints; the trust instrument is not published. Backpack’s own stock service runs through a broker chain: Backpack Securities Global Limited of New Zealand introduces, Atomic Vault Securities, LLC acts as intermediary broker, and RQD Clearing, LLC clears; both US firms are FINRA members. Shares held in a Backpack account are security entitlements on that chain. No document says the shares behind the tokens stay in it, or names who holds them.
The tokens are Token-2022 mints on Solana whose metadata sits on Trek Labs’ GitHub pages and links Backpack’s terms. Backpack’s public assets list confirms each mint. On 23 September 2026 we read 42,288 SPCX tokens in issue; about 61 Backpack stock mints held any supply, and the file lists eight.
What a holder owns
The claim is a receipt, not a share and not a note: ”The Tokens are intended solely as digital receipts evidencing a pro rata beneficial entitlement (if any) under a bare trust declared by the Company.” A trust interest can be a sound claim, since trust property sits outside the trustee’s estate. Here the terms take most of it back. The issuer recognises Trek Forge alone as beneficiary, and a transfer to anyone else ”shall be ineffective for purposes of recognition by the Issuer as registered Tokenholder or beneficiary.” On-chain holders ”have no entitlement to access Redemption or burning functionalities in the ordinary course.” Dividends are reinvested into more shares, and only Trek Forge may give voting instructions. Backpack’s marketing calls the token redeemable for a real share; the terms control, and they say ”if any.”
Who may hold, and how a holder gets out
The tokenization service is ”not available to residents of the United States,” and the tokens may not be sold to US persons. Backpack Securities is also closed in the United Kingdom, the UAE, Japan and on Backpack EU. Any verified Backpack user elsewhere can trade: ”There is no separate stocks account to open,” orders start at $1, and shares trade in fractions of 0.01.
A token deposited to a Backpack account in good standing is detokenized automatically into the stock position, which can then be sold. A holder without a Backpack account can only sell the token to someone else on a Solana exchange. BVI law governs, with arbitration in the BVI.
Control on chain
We read the SPCX mint on 23 September 2026. The freeze authority, the pause authority and the permanent delegate are the same account, 2cVYpagT…, which is owned by a program (FewRXXTz…) rather than a plain key; the mint authority is another account of the same program. A permanent delegate can move or burn any holder’s tokens without a signature. New accounts open unfrozen, so there is no allowlist today, and the mint carries a transfer-hook extension with no program set, which the same authority could switch on. The terms back the powers: the issuer may ”blacklist, freeze, or restrict the use, transfer, or redemption of any Tokens or any blockchain address.”
Against the other SpaceX tokens
SpaceX has listed on Nasdaq since 12 June 2026, and at least six programs now sell a token on it. BTech’s bStocks and Coinbase’s certificates are trust interests the issuer records for vested holders; xStocks and Reality’s rTokens are notes. Backpack’s is a trust receipt whose issuer records someone else. It is the weakest claim of the group for anyone who holds the token outside Backpack.
