ARK Venture Fund (ARKVX), tokenized by Securitize

What the client owns
Class D share of ARK Venture Fund, a registered closed-end interval fund that holds private and public companies (SpaceX 13.8%, OpenAI 6.3%, Anthropic 4.6%, Stripe 4.4% of the fund on 30 June 2026; 62% in private companies), held by Securitize Markets at BNY Mellon; NAV $60.49 on 24 September 2026. Third-party custodial: A custodian’s security entitlement formatted as a token; the claim runs against the intermediary.
Who may hold it
US retail investors. First purchase $500. State coverage not confirmed by the issuer. Securitize’s page says the token “is currently offered to US investors only” and that the fund “is open to investors regardless of accreditation or qualification.” The fund’s prospectus states a $500 minimum for every class, which the fund may waive; Securitize keeps the $500 first investment, sets later ones at $5, and takes a 2% transaction fee from each deposit before pricing. Securitize’s onboarding asks for a photo ID and a wallet; the documents read do not say whether it opens entity or retirement accounts for this token, or list states.
Who can freeze or claw back
Ethereum: can freeze a holder, pause transfers, claw back, gate who may hold, mint, change the code. A single key can freeze a holder.
How it exits
Redeem with the issuer in its window. The fund’s quarterly repurchase offer in March, June, September, and December for 5% of its shares (it may add 2%), prorated when oversubscribed, priced at NAV on the repurchase pricing date and paid in cash within seven calendar days; Securitize passes the holder’s request into that window and returns unfilled units to the wallet. The fund pays by check or wire; Securitize does not say whether the holder is paid in dollars or USDC. Settles in USD.

Who may buy, hold, transfer, and redeem

Each answer rests on the issuer’s own words, quoted from the document named under it. Ketju re-reads each document and records whether the words are still there. Where the documents say nothing, the row says so.

What the holder owns

A claim on Class D shares of the fund that Securitize Markets, a broker-dealer, bought and holds at BNY Mellon; the holder is not on the fund’s shareholder list.

“Each token is backed 1:1 by ARK Venture Fund shares that Securitize Markets buys and holds in custody at BNY Mellon. Your token is an entitlement to that underlying position, and the tokens outstanding are continuously reconciled against the shares held in custody, so what you hold onchain always corresponds to real fund shares.”

First purchase minimum

$500 for the first investment and $5 after, with 2% taken from each deposit before it is priced.

“The minimum for your first investment is $500, funded from a wallet you have whitelisted. A 2% transaction fee is deducted from your deposit, so the amount that gets priced into your units is your deposit after the fee.”

How a holder redeems

Through the fund’s quarterly offer for 5% of its shares, prorated when oversubscribed, paid within seven calendar days of the pricing date.

“The Fund expects to distribute repurchase proceeds in cash to shareholders between one and three business days and will distribute such repurchase payments no later than seven calendar days after each Repurchase Pricing Date.”

Who keeps the official record

BNY Mellon Investment Servicing keeps the fund’s shareholder list; Securitize Markets is the shareholder on it, and the token records the holder’s claim on Securitize Markets.

“BNY Mellon Investment Servicing (US) Inc., located at 240 Greenwich Street, New York, New York 10286, serves as the Fund’s transfer agent (“Transfer Agent”) pursuant to a transfer agency and service agreement.”

What the issuer says it can freeze or take back

Securitize says its contracts can seize or burn tokens; on chain, one key owns the token and one key owns the wallet registrar that blacklists and locks wallets.

“While Securitize’s smart contracts provide mechanisms to seize or burn tokens to remediate these situations, such incidents could lead to temporary imbalances, customer disputes, or reputational harm.”

Who holds the keys

Every current holder of each power, read from the chain on 2026-09-25. A single key is one private key: whoever holds it acts alone. A multisig needs the stated number of signers. A timelock makes every action wait, so holders can see it coming.

What the monitor reads daily

Every control function in the table above and the contracts the token consults on transfer; the token’s on-chain supply against yesterday’s; and its market quote against yesterday’s quote, since a fund of this kind accrues a few basis points a day. Every document quoted above is re-read too, and a quote that leaves its document reopens the file. EDGAR is read for the transfer agent’s registration; a new filing reopens the file. A key that appears, disappears, or changes shape counts as a change only when the chain’s own log shows the grant, revocation, or signer change between yesterday’s block and today’s; a difference the log does not show updates this file’s key list and nothing more. A change opens a review item in the governance queue and reopens the file before any client action. Subscribers get an email naming each of their clients who hold it, with the household result.
