What the client owns
Royalty Revenue Bond, Series 2026: a $10.00 unsecured general obligation of DeedFlow, Inc. paying an 8% a year Priority Return from a Royalty Pool when the pool has money, with unpaid amounts owed at maturity in ten years; the issuer assigns no ticker or CUSIP, and the symbol here is Ketju’s label. Issuer indirect: The token points at a record kept off chain; the transfer agent’s file governs and the chain is a mirror.
Who may hold it
US retail investors. First purchase $2,500. State coverage not confirmed by the issuer. Anyone may buy once the SEC qualifies the offering, which it had not done on 2026-09-25: an accredited investor without limit, and any other investor up to 10% of the greater of annual income or net worth (for an entity, 10% of the greater of revenue or net assets), the Regulation A Tier 2 rule. The minimum is 250 Bonds, $2,500, then one Bond at a time. The transfer agent, T7X, runs the identity check through Persona and issues a Nomyx digital ID for each investor; DeedFlow does no checking of its own. Tier 2 preempts state review, and the circular names no state list. DeedFlow may refuse any subscription and any foreign investor.
Who can freeze or claw back
The transfer agent holds every token in its own wallet and can freeze them or block any transaction on a regulator’s or court’s order. No contract is public, so Ketju cannot read the keys yet.
How it exits
No exit stated. The holder cannot put the Bond back. DeedFlow repays $10.00 par plus unpaid Priority Return and Accrued Shortfall at maturity, ten years from issuance, and may call early: not in years 1 to 3, at 125% of par in years 4 and 5, 110% in years 6 and 7, par from year 8. Quarterly payments come from the payment agent to the extent the Royalty Pool, and in year 1 an escrow of about 8% of proceeds, can fund them.. Settles in USD.
