Nomyx Revenue Participation Bonds, Series 2026 (Bond Tokens)

What the client owns
Revenue Participation Bond, Series 2026: a $10 unsecured general obligation of Nomyx Technology Labs Inc. paying an 8% priority return quarterly from a pool of 10% of platform revenues (or general funds), due seven years after its own issue date, with one non-detachable warrant to buy one common share at $12. Each token is one bond and cannot be split.. Issuer indirect: The token points at a record kept off chain; the transfer agent’s file governs and the chain is a mirror.
Who may hold it
US retail investors. First purchase $2,000. State coverage not confirmed by the issuer. A Tier 2 Regulation A offering: anyone may buy, but a buyer who is not an accredited investor may put in no more than 10% of the greater of annual income or net worth (for an entity, annual revenue or net assets). The circular calls such buyers “qualified purchasers” in Regulation A’s sense, which is not the Investment Company Act term. The minimum is 200 bonds, $2,000, then $10 steps; Nomyx may waive it. Nomyx has not published a state list; Tier 2 preempts state review of the offering but the form of bond says qualification does not assure resale in every state. The transfer agent collects KYC, AML, tax, and sanctions information for Nomyx at subscription. Nothing can be bought until the SEC qualifies the offering statement.
Who can freeze or claw back
Nomyx and the transfer agent can freeze, burn, cancel, re-mint, or migrate any token to match the master file, and any transfer the transfer agent has not recorded is void. No contract is public, so Ketju cannot read the keys yet.
How it exits
No exit stated. The holder cannot redeem. Principal of $10 per bond is repaid on the seventh anniversary of that bond’s issue date. Nomyx may redeem from the third anniversary at 150% of principal through the fifth anniversary and 130% after, plus accrued amounts, and must buy out every bond within 60 days of a change of control at not less than principal plus accrued amounts. The 8% priority return is paid quarterly on 15 January, April, July, and October; the transfer agent pays distributions in US dollars or USDC. Annual cash on each bond is capped at 20% of principal, shortfall and premiums excluded.. Settles in USD, USDC.
