Streamex GLDY

What the client owns
Non-voting participating shares of Streamex Ltd., a Cayman SPV that owns gold bullion (one fine troy ounce per token at issue) and leases it out for gold-denominated income paid as new GLDY. Issuer indirect: The token points at a record kept off chain; the transfer agent’s file governs and the chain is a mirror.
Who may hold it
US accredited investors. First purchase $1. Streamex requires accredited-investor verification of every buyer, US or not, and whitelists each wallet. A buyer below $200,000 must send supporting documents for verification; the subscription documents state no minimum investment, and Streamex Ltd.’s February 2026 Form D states $1 as the minimum accepted from any outside investor, so in practice there is none. A secondary buyer must sign the same subscription agreement before a transfer counts.
Who can freeze or claw back
Base: can freeze a holder, pause transfers, claw back, gate who may hold, mint, change the code.
How it exits
Redeem with the issuer in its window. A holder redeems with the SPV under the Private Placement Memorandum, which Streamex does not publish; the subscription agreement calls the redemption rights limited. Streamex’s 10-Q says GLDY purchases and redemptions settle in USDC, and a trading firm Streamex lent 1,069 GLDY and $5 million of USDC on 2026-07-01 provides instant settlement. Gold on lease may not be free to sell at once.. Settles in USDC.

This file replaced an earlier record on 2026-09-24. Superseded because the minimum was stated after all. The file said no document names a minimum; Streamex Ltd.’s February 2026 Form D states $1 as the minimum accepted from any outside investor, and reports no sales and no investors at filing. The file now quotes the Form D. Superseded records.

Who may buy, hold, transfer, and redeem

Each answer rests on the issuer’s own words, quoted from the document named under it. Ketju re-reads each document and records whether the words are still there. Where the documents say nothing, the row says so.

What the holder owns

A non-voting participating share of Streamex Ltd., a Cayman SPV that owns gold and leases it out. The holder owns a share of the company, not the metal.

“Streamex Ltd. issues GLDY tokens, which represent non-voting participating equity interests designed to provide holders with economic exposure to physical gold bullion and gold-denominated leasing returns.”

What the issuer filed with the SEC

A private offering files Form D with the SEC within 15 days of its first sale and amends it each year while it sells. The issuer signs it. It states the exemption relied on, the fund’s exclusion from the Investment Company Act (which decides who may buy), the smallest investment accepted, the amount sold, and how many investors hold.

What the monitor reads daily

Every control function in the table above and the contracts the token consults on transfer; the token’s on-chain supply against yesterday’s; and its market quote against yesterday’s quote, since a fund of this kind accrues a few basis points a day. Every document quoted above is re-read too, and a quote that leaves its document reopens the file. EDGAR is read for the issuer’s Form D filings; a new filing reopens the file. A change opens a review item in the governance queue and reopens the file before any client action.
