Invesco USTB (Superstate)
Rejected venues wait the longest for re-review; a rejection has to earn another look before the scheduled date.
REJECTED ON ACCESS, NOT CREDIT QUALITY. USTB is a U.S.-domiciled private fund holding short-duration government securities and repurchase agreements, now presented as the Invesco Short Duration US Government Securities Fund on Superstate. BNY Mellon is listed as custodian and PricewaterhouseCoopers LLP as auditor. The legal gate remains decisive: current public materials describe eligible investors as “Accredited Investors and Qualified Purchasers” without stating whether those tests are alternative or cumulative; investors must onboard separately, execute fund documents and use allowlisted wallets; the initial minimum is $100,000 unless waived. Tokenization improves settlement but does not make the security retail-accessible. USTB also uses upgradeable, administrator-controlled contracts that can mint, change allowlist status and forcibly burn tokens when legally required. Keep rejected for mass-affluent clients because the public label does not establish mandate-wide eligibility. Reopen only after the controlling PPM confirms the intended client category.

Instrument and portfolio mechanism
USTB represents shares in a series of a Delaware statutory trust. The fund invests in short-duration U.S. government securities, including Treasury bills, and repurchase agreements, and targets income consistent with the federal-funds rate, liquidity and principal stability. A holder owns a fund share rather than any identified bill. Income and expenses accrue into NAV per share; the token balance stays fixed while NAV rises. Superstate publishes holdings, NAV, AUM and yield through public APIs, and its continuous price extrapolates between NAV-calculation-agent checkpoints for on-chain subscriptions and redemptions.
Who controls the claim
The fund entity owns the securities; the current product page identifies Invesco as investment manager, BNY Mellon as custodian, PricewaterhouseCoopers LLP as auditor and NAV Fund Services as calculation agent, while Superstate runs issuance, records, allowlisting and investor operations. The exact transition from Superstate as manager to Invesco should be confirmed in the controlling private-placement memorandum because documentation pages were updated on different dates. Contracts are upgradeable and privileged Superstate administration can mint, add or remove wallets and forcibly burn shares for legal reasons. On Solana, frozen-by-default Token-2022 accounts and a permanent delegate enforce the same perimeter.
Assurance and operating record
Superstate says ownership records are maintained redundantly by the calculation agent, internally and on-chain, while underlying assets remain with a qualified custodian. It publishes contract and allowlist audits from multiple firms. No USTB principal impairment, failed fund redemption or token exploit was identified in the reviewed primary materials; this remains limited by the private-fund record and is not a guarantee. The significant governance event is the investment-manager transition to Invesco: contracts, service agreements, portfolio authority and offering documents must all identify the same responsible party before reliance.
Exit and liquidity
There is no stated minimum redemption. Eligible holders may request dollars or USDC; dollar requests received before 1pm ET are ordinarily same-day and later requests T+1. USDC redemptions are immediate only when liquidity is available. Ethereum adds an atomic RedemptionIdle contract, but it reverts when its USDC balance is insufficient. Solana and Plume do not inherit that Ethereum-specific atomic backstop. Transfer only works between authorized wallets. Therefore the proper liquidity metric is proposed-size available USDC plus the fund redemption window, not the presence of an ERC-20 market or headline AUM.
Comparison and decision
Compared with OUSG, USTB directly holds short government securities and repo rather than a manager of tokenized funds, reducing look-through layers. Compared with BUIDL, it offers a $100,000 initial minimum and a clear no-minimum redemption rule, while USTB’s current public page says “Accredited Investors and Qualified Purchasers.” That wording is insufficient to infer an OR or AND test, so the PPM must control. Compared with a broker-held registered Treasury or government money-market fund, USTB adds continuous pricing, self-custody and DeFi composability while adding allowlist, admin-key, oracle, smart-contract and USDC liquidity dependencies. The recommendation remains reject for this client mandate, irrespective of the portfolio manager’s quality.
Observable reopening conditions
Reopen only if controlling offering documents establish a U.S. share class available to the intended clients under the actual PPM, the minimum fits the proposed allocation, and approved custody supports its transfer controls. Before approval, reconcile manager, custodian, auditor and calculation agent to the current documents; map every live-chain implementation and admin to audits; verify daily holdings and NAV; and execute proposed-size USDC and dollar redemptions inside written time and cost limits. Any government-security mandate breach, NAV error, unannounced authority change, forced-burn event or redemption suspension closes it.
