Who may hold it
US qualified purchasers. First purchase $100,000. Superstate’s and Bitwise’s fund pages list eligible investors as “Qualified Purchasers in supported jurisdictions.” The Form D amendment filed 17 July 2025 claims Rule 506(c) and the Investment Company Act section 3(c)(7) exclusion, which admits only qualified purchasers, and states the same $100,000 minimum; it reports $211,043,879 sold to 43 investors since the first sale on 12 July 2024 and still names Superstate Advisers as investment manager. Superstate’s onboarding pages ask only for proof of accredited status to invest in USTB or USCC; the file follows the fund pages and the Form D. Superstate may waive the minimum.

Tokens are redeemed by sending them to the redemption address or, on Ethereum, calling offchainRedeem. USDC payouts run through Circle, and the fact sheet says the redemption program may be modified or terminated at any time. Settles in USD, USDC.
